4. Client Eligibility and International Engagement

Clients represent and warrant that they are legally permitted to engage consultancy services under the laws of their home jurisdiction and that their proposed activities in India comply with applicable Indian laws, including the Foreign Exchange Management Act, 1999 (FEMA) and allied regulations.

5. Engagement, Scope, and Deliverables

The scope of services, timelines, deliverables, fees, and commercial terms shall be governed by a separate written engagement letter, proposal, or agreement executed between the Company and the Client. In the absence of a signed agreement, no obligation is created on the Company to deliver any service. Any changes to the scope must be mutually agreed upon in writing.

6. Fees, Payments, and Taxes

Consultancy fees are payable as per agreed commercial terms. All fees are exclusive of applicable Indian taxes, including Goods and Services Tax (GST), withholding taxes, or cross-border tax deductions, unless stated otherwise. International clients are responsible for compliance with applicable foreign exchange remittance rules, banking charges, and tax obligations in their jurisdiction. Delayed payments may result in suspension of services without liability.

7. Confidentiality and Non-Disclosure

The Company shall treat all non-public, proprietary, or confidential information received from Clients as confidential and shall not disclose such information except as required for service delivery or mandated by law. Similarly, Clients agree not to misuse, disclose, or reproduce the Company’s proprietary methodologies, reports, frameworks, or intellectual property without prior written consent.

8. Intellectual Property Rights

All content, materials, methodologies, reports, analyses, frameworks, trademarks, logos, and intellectual assets displayed on the website or shared during consultancy engagements remain the exclusive intellectual property of the Company, protected under the Copyright Act, 1957 and Trademark Act, 1999. The Company’s total liability, if any, shall be limited to the fees actually paid for the specific service giving rise to the claim.

11. No Guarantee of Results

The Client acknowledges that business outcomes in India depend on multiple external factors, including regulatory changes, market dynamics, government policies, and economic conditions. The Company does not guarantee market entry approvals, commercial success, funding outcomes, partnerships, or regulatory clearances.

12. Third-Party Links and References

This website may contain references or links to third-party websites, government portals, or service providers. The Company does not endorse or assume responsibility for the accuracy, content, or practices of such third parties.

13. Termination of Services

Either party may terminate the consultancy engagement as per the agreed contractual terms. The Company reserves the right to refuse or discontinue services where client activities appear unlawful, unethical, or in violation of Indian regulations or international sanctions.

14. Governing Law and Jurisdiction
